1. ACCEPTANCE OF TERMS
1.1 Agreement to Terms
By accessing, downloading, installing, or using the Outward mobile application and related services (collectively, the "App"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (these "Terms") and our Privacy Policy. These Terms constitute a legally binding agreement between you and Jolix Digital Labs LLC, a Wyoming limited liability company ("we," "us," "our," or "Company").
IMPORTANT NOTICE: THESE TERMS CONTAIN A MANDATORY ARBITRATION PROVISION AND CLASS ACTION WAIVER IN SECTION 16. PLEASE READ IT CAREFULLY.
1.2 Privacy Policy
Our Privacy Policy describes how we collect, use, and protect your personal information. By using the App, you verify that you have read our Privacy Policy and consent to our data practices described therein.
1.3 Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date above. Your continued use of the App after changes become effective constitutes your acceptance of the revised Terms.
2. ELIGIBILITY AND ACCOUNT REQUIREMENTS
2.1 Age Requirements
You must be at least 18 years of age to create an account and use the App. By using the App, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.
2.2 Account Registration
To access features of the App, you must create an account using Sign in with Apple or other authentication methods we may provide. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
2.3 Account Security
You agree to immediately notify us of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account security.
3. DESCRIPTION OF SERVICES
3.1 What We Provide
Outward provides audio-guided walking experiences, wellness tracking tools, and reflection prompts. The audio content is pre-recorded and cannot adapt to your real-time situation, location, or conditions.
The specific features, content, and functionality of the App may vary depending on your device, operating system, subscription tier, and geographic location.
3.2 What We Do NOT Provide
The App is for educational, entertainment, and general wellness purposes only. You explicitly acknowledge the following limitations:
NOT Medical Advice: The App is NOT a medical device, healthcare service, therapeutic intervention, or clinical tool.
NOT Therapy: The reflection prompts, mood tracking, and mindfulness content are self-help tools only. They are distinct from and not a substitute for clinical therapy, psychiatric care, or professional counseling.
No Doctor-Patient Relationship: Use of the App does not create a doctor-patient, therapist-client, or other professional relationship between you and Jolix Digital Labs LLC.
NOT Emergency Services: The App cannot detect emergencies or summon help.
Accuracy of Metrics: Data provided by the App (such as steps, distance, or calories burned) are estimates for informational purposes only. They are not clinical measurements and should not be relied upon for medical decision-making.
3.3 Service Modifications
We reserve the right to modify, suspend, rename, or discontinue the App (or any part thereof) at any time. You agree that we will not be liable to you or any third party for any modification, suspension, or discontinuance of the App.
3.4 No Guarantee of Results or Outcomes
While we design our content to be beneficial, we make no guarantee that you will achieve any particular results, benefits, or outcomes from using the App. Results vary significantly based on individual circumstances, consistency of practice, personal health status, and many factors beyond our control.
4. CRITICAL SAFETY DISCLAIMERS AND WARNINGS
YOU ARE SOLELY RESPONSIBLE FOR YOUR PHYSICAL SAFETY WHILE USING THIS APP. Walking, even while listening to guided audio content, requires constant awareness of your surroundings, navigation hazards, and environmental conditions.
By using this App, you explicitly acknowledge and agree that:
A. Environmental Awareness: You will maintain full awareness of your physical environment at all times while walking. You are responsible for avoiding traffic, pedestrians, obstacles, uneven surfaces, and weather hazards.
B. Audio Distraction: You understand that listening to audio content while walking creates a risk of distraction. You agree to:
Pause the audio whenever navigating intersections, traffic, or complex environments.
Adjust volume to levels that allow you to hear ambient sounds (sirens, horns, shouts).
Consider using only one earbud to maintain auditory awareness.
C. Traffic Safety: You agree to obey all traffic laws, use crosswalks, and never assume drivers see you.
D. Unsafe Conditions: You agree NOT to use the App in conditions that impair safety, including extreme weather, darkness without lighting, dangerous terrain, or high-crime areas.
5. HEALTH AND MEDICAL DISCLAIMERS
5.1 Not Medical Advice
THE APP DOES NOT PROVIDE MEDICAL DIAGNOSIS OR TREATMENT. Content related to meditation, mindfulness, or walking is for informational purposes only.
5.2 Physical Health
Before beginning any walking program, consult your physician, especially if you have a history of heart conditions, respiratory issues, or balance problems. If you experience dizziness, pain, shortness of breath, or any other signs of physical distress while using the App, STOP IMMEDIATELY and consult a medical professional.
5.3 Mental Health
The App utilizes mindfulness and reflection techniques. These are not a substitute for professional mental health care. If you have a history of PTSD, anxiety, depression, or other mental health conditions, consult your provider before using the App. If the content triggers a negative emotional response, discontinue use immediately.
5.4 Crisis Resources (Emergency Contacts)
The App is not an emergency service. If you are experiencing a mental health crisis, thoughts of self-harm, or a medical emergency, please stop using the App and use the following resources immediately:
· Call 988 (Suicide and Crisis Lifeline in the United States)
· Text "HELLO" to 741741 (Crisis Text Line)
· Call 911 or go to your nearest emergency room.
· Contact your mental health provider or primary care physician.
6. USER RESPONSIBILITIES AND ACCEPTABLE USE
6.1 Prohibited Conduct
You agree NOT to:
Use the App for any illegal purpose or in violation of any local, state, or national law.
Harass, threaten, or defraud other users or our staff.
Interfere with security-related features of the App.
Use any automated means (robots, spiders, scrapers) to access the App.
Impersonate any person or entity.
Use the App or its content for any commercial purposes without our express written permission.
6.2 Consequences of Violations
We reserve the right to investigate any suspected violations of these Terms. If we determine that you have violated these Terms, we may:
Issue warnings
Suspend or limit your access to the App
Terminate your account
Remove or disable access to content you have submitted
Report your conduct to law enforcement if we believe it may violate criminal laws
Take legal action, including seeking injunctive relief and damages
These remedies are not exclusive and we may take any other action we reasonably deem appropriate.
7. SUBSCRIPTION TERMS AND PAYMENT
7.1 Subscriptions
The App is available via paid subscription. Pricing and terms are displayed within the App at the time of purchase.
7.2 Apple In-App Purchases
All financial transactions are processed by Apple Inc. ("Apple") through your Apple ID account.
Merchant of Record: Apple is the Merchant of Record for all transactions.
Data Privacy: We do not collect, store, or have access to your credit card number or billing address.
7.3 Automatic Renewal
SUBSCRIPTIONS AUTOMATICALLY RENEW. Your subscription will automatically renew at the end of each subscription period unless you cancel at least 24 hours before the end of the current period. Your Apple ID account will be charged for renewal within 24 hours prior to the end of the current period.
7.4 Cancellation
You can cancel your subscription at any time through your iOS Settings.
How to Cancel: Go to Settings > [Your Name] > Subscriptions > Outward > Cancel Subscription.
Effect: Cancellation stops future billing. You will retain access until the end of the current paid period.
7.5 Refunds
All refund requests must be submitted directly to Apple. We do not have the ability to process refunds manually, and we cannot override Apple’s refund policies. To request a refund, visit reportaproblem.apple.com.
7.6 Changes to Subscription Terms
We reserve the right to modify subscription plans, pricing, features included in subscriptions, or other subscription terms at any time. Changes will apply to new subscriptions and to renewals of existing subscriptions. We will provide notice of material changes before they become effective for your subscription, giving you the opportunity to cancel if you do not agree to the changes.
8. INTELLECTUAL PROPERTY RIGHTS
8.1 Our Content
The App, including but not limited to its source code, scripts, text, graphics, logos, and audio content (voiceovers, soundscapes, and music), is the proprietary property of Jolix Digital Labs LLC or its licensors.
8.2 AI & Content Protection (Strict Prohibition)
You are granted a limited, non-exclusive, non-transferable license to listen to the content for personal use only. You explicitly agree NOT to:
Rip or Extract: Record, reproduce, redistribute, or extract audio files from the App for use outside the App.
AI Training: Use any text, audio, or voice content from the App to train machine learning models, AI voice synthesizers, or for deepfake generation.
Reverse Engineer: Attempt to reverse engineer, decompile, or discover the underlying synthesis methods of the AI-generated voiceovers.
Commercial Use: Use the App’s content for any commercial purpose, public performance, or professional/clinical setting.
8.3 Copyright Infringement
If you believe content in the App infringes your copyright, please contact us at: support@outward-app.com
9. USER-GENERATED CONTENT
9.1 Your Content
If the App allows you to create content (e.g., journal entries, mood logs), you retain ownership of that content.
9.2 License to Us
By creating content in the App, you grant us a limited, worldwide, royalty-free license to store, process, display, and backup your content as necessary to provide the Service to you.
9.3 Feedback
If you provide us with any feedback, suggestions, or ideas about the App ("Feedback"), you grant us the right to use that Feedback without any obligation to compensate you. You waive any rights you may have in Feedback, and agree that we may incorporate Feedback into the App or other products without restriction.
10. DISCLAIMERS OF WARRANTIES
10.1 "AS IS" and "As Available" Basis
THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
TO THE FULLEST EXTENT PERMITTED BY LAW, JOLIX DIGITAL LABS LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT:
The App will be uninterrupted, secure, or error-free.
Any specific results (e.g., weight loss, mental health improvement) will be obtained.
The tracking data (steps, location) will be perfectly accurate.
10.2 No Medical Warranties
WE SPECIFICALLY DISCLAIM ANY WARRANTIES THAT:
The App will provide any medical or health benefits
The App can diagnose, treat, cure, or prevent any medical condition
The App can improve any specific physical or mental health outcome
Meditation practices in the App are suitable for any particular individual
Use of the App will result in any particular results, weight loss, mood improvement, stress reduction, or other outcomes
Tracking data is medically accurate or reliable for health decisions
10.3 No Safety Warranties
WE SPECIFICALLY DISCLAIM ANY WARRANTIES REGARDING YOUR PHYSICAL SAFETY WHILE USING THE APP. We do not warrant that:
The App's guidance is appropriate for your specific circumstances
Use of the App while walking is safe in your particular environment
The App can detect or alert you to safety hazards
The App can prevent accidents or injuries
10.4 Third-Party Content
We may provide links to third-party websites, services, or content for your convenience. We do not control, endorse, or assume responsibility for any third-party content. Your interactions with third-party services are solely between you and the third party.
11. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL JOLIX DIGITAL LABS LLC BE LIABLE FOR:
Indirect Damages: Any indirect, incidental, special, consequential, or punitive damages (including loss of data or profits).
2. Injury or Property Damage: Any injuries, accidents, harm, or property damage you suffer or cause to third parties while walking or using the App. This includes damages to your device, clothing, or other personal property, as well as damages arising from collisions with vehicles, pedestrians, or objects.
Total Liability Cap: Our total liability to you for all claims shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100 USD, whichever is greater.
12. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Jolix Digital Labs LLC from and against any claims, damages, liabilities, costs, or expenses (including attorneys' fees) arising from:
Your use of the App.
Your violation of these Terms.
Any injury or damage caused by your walking and other activities while using the App.
13. TERMINATION
13.1 Your Right
You may terminate this agreement by canceling your subscription and deleting the App.
13.2 Our Right
We may terminate or suspend your access to the App immediately, without prior notice, if you breach these Terms (including Section 8.2 regarding Content Protection) or for any other reason in our sole discretion.
13.3 Survival of Terms
The following provisions will survive the termination of these Terms and your account:
· Section 8 (Intellectual Property & AI Protection)
· Section 10 (Disclaimers of Warranties)
· Section 11 (Limitation of Liability)
· Section 12 (Indemnification)
· Section 16 (Dispute Resolution and Arbitration)
· Any other provision that by its nature should survive termination.
14. GENERAL PROVISIONS
14.1 Governing Law
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of law principles.
14.2 Severability
If any provision of these Terms is found to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
14.3 No Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
14.4 Force Majeure
We will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, fire, floods, accidents, pandemics, or internet service provider failures.
14.5 Assignment
You may not assign these Terms without our written consent. We may assign these Terms without restriction.
14.6 Export Control
You agree to comply with all applicable export and re-export control laws and regulations. You represent and warrant that you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
14.7 Relationship of the Parties
Nothing in these Terms creates any agency, partnership, joint venture, employer-employee, or franchisor-franchisee relationship between you and us. You may not make any representations on our behalf or bind us in any way.
14.8 Statute of Limitations
Regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the App or these Terms must be filed within one (1) year after such claim or cause of action arose, or be forever barred.

16. DISPUTE RESOLUTION AND ARBITRATION
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
16.1 Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the use of the App shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court.
16.2 Class Action Waiver
YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
16.3 Opt-Out Right
You have the right to opt out of this arbitration agreement within 30 days of your first use of the App. To opt out, you must send a written letter to the address listed in Section 15 or an email to support@outward-app.com with your name, email, and a clear statement that you wish to opt out of arbitration.
16.4 Small Claims
Notwithstanding the above, either you or we may bring an individual action in small claims court if the action is within that court’s jurisdiction.
17. NOTICE REGARDING APPLE
This section applies if you download the App from the Apple App Store. You acknowledge and agree that:
1. Parties: These Terms are between you and us, not Apple. We, not Apple, are responsible for the App and its content.
2. Maintenance: Apple has no obligation to provide any maintenance or support services for the App.
3. Warranty: To the maximum extent permitted by law, Apple has no warranty obligation regarding the App.
4. Claims: Apple is not responsible for addressing any claims by you or any third party relating to the App, including product liability claims or failure to comply with legal requirements.
5. IP Rights: Apple is not responsible for the investigation, defense, settlement, or discharge of any third-party intellectual property infringement claim.
6. Third-Party Beneficiary: Apple and its subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple will have the right to enforce these Terms against you as a third-party beneficiary.
ACKNOWLEDGMENT
BY CLICKING "I ACCEPT," CREATING AN ACCOUNT, OR USING THE APP OR OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE, UNDERSTOOD THEM, AND AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE APP AND/OR OUR SERVICES.
